Member of Legal Staff, Corporate Counsel

About this role

We are looking for a corporate counsel who combines strong transactional execution with a genuine interest in AI and legal operations. The ideal candidate is an experienced corporate counsel with foundational training at a law firm and hands-on experience with venture financings, corporate governance, equity administration, and transaction closings. This person will own the details that keep corporate matters moving, from drafting and signatures through filings, records, and closing organization.

Requirements

• Significant experience supporting venture capital financings, M&A, or similar corporate transactions, with strong knowledge of transaction documents,….
• Strong experience with corporate governance, entity management, state filings, cap tables, and equity administration.
• Exceptional organization and attention to detail, with the ability to independently drive matters from start to finish.
• Strong drafting, proofreading, project management, and communication skills.
• Genuine interest in AI, legal technology, workflow design, and automation.
